Working for a company based in Virginia but living in Minnesota. Do I mention I am exempt on the VA-4 form since I will pay state tax in Minnesota?

Yes.  If you're sure you will not (physically) perform any work within the State of Virginia during the year, then check Box 3 of the Virginia Form VA-4.

 

Note:  If your employer does not withhold MN state income tax from your pay, then you must make quarterly estimated tax payments to MN.
